Zonda
Terms of Use
These Terms govern access to and use of Zonda by clients and authorized users. By accessing the Services you accept them, on your own behalf or on behalf of the organization you represent.
Last updated: September 15, 2026
Order of precedence. If your organization has entered into a service order, commercial proposal, master agreement, service level agreement, data processing agreement, or other specific instrument with Zonda, that instrument prevails over these Terms in case of conflict as to the matters it governs.
1. Scope
1.1 These Terms apply to the Zonda platform, its features, integrations, and interfaces enabled for the Client, as well as to the associated support, update, and assistance services (together, the “Services”). In these Terms, “Zonda”, “we”, and the “Provider” mean the provider of the Services, whose identifying details are set out in the applicable contractual documentation.
1.2 Zonda is a working platform for institutions and professionals who work with legal information. The Services may include legal research and analysis, drafting and review of documents, preparation of work product, consultation of public or authorized private information, automations, and other features enabled under the contracted plan.
2. Acceptance and authority
2.1 By registering for, accessing, or using the Services, you represent that you have read, understood, and accepted these Terms, the Privacy Policy and, where applicable, the data processing agreement and other applicable contractual documentation.
2.2 If you use the Services on behalf of a legal entity or other organization, you represent that you have sufficient authority to bind it. In that case, “Client” means that organization and “Authorized User” means each individual enabled to use the Services under its account.
2.3 If you do not accept these Terms or lack the necessary authority, you must not access or use the Services.
3. Clients and Authorized Users
3.1 The Services are intended for law firms, legal departments, public bodies, institutions, and other organizations or professionals who use legal information in the course of their activities. They are not designed as a personal legal guidance service for consumers.
3.2 The Client may grant access only to the Authorized Users covered by its plan. Accounts are personal, named, and non-transferable, unless the commercial documentation expressly provides otherwise.
3.3 The Client is responsible for managing the additions, removals, permissions, and roles of its Authorized Users, and for ensuring that they all comply with these Terms and the applicable internal policies.
4. Access and subscription
4.1 Subject to compliance with these Terms and with the agreed commercial conditions, Zonda grants the Client a limited, non-exclusive, non-sublicensable, non-transferable, and revocable right to access and use the Services during the subscription term, solely for its internal professional or institutional purposes.
4.2 The scope of the Services, the number of Authorized Users, usage limits, duration, and financial conditions are those set out in the service order, commercial proposal, or contracted plan.
5. Nature of the Services and professional review
5.1 Zonda is a technological tool that supports professional work. The Provider does not act as the Client's lawyer, does not represent anyone before authorities, and does not establish, by the mere use of the Services, an attorney-client relationship, professional mandate, partnership, agency, or fiduciary relationship.
5.2 The results generated by the Services (the “Results”) may include answers, analyses, comparisons, drafts, documents, summaries, calculations, and other materials. Because some features are automated, the Results may contain errors, omissions, inaccuracies, or out-of-date information.
5.3 It is worth being explicit about how they can fail: a system of this kind may cite a repealed rule as being in force, attribute a holding to a court that never made it, omit a controlling exception, or construct a reference that does not exist. Zonda shows its sources precisely so that this can be checked.
5.4 The Client and its Authorized Users are responsible for reviewing the Results before using them, particularly where they may bear on advice, contracts, filings before authorities, or professional, regulatory, financial, or business decisions. That review must consider the accuracy of the content, whether the sources are authoritative and in force, the facts of the matter, and the applicable professional requirements.
5.5 The Services do not replace professional judgment or the Client's own review, approval, conflicts, confidentiality, security, or quality-control procedures. The Client remains responsible for the work it adopts, communicates, files, or delivers to third parties.
5.6 The official text of a rule is the one published by the competent authority. In case of any discrepancy, that text prevails over anything the Services display.
6. Account and security
6.1 Each Authorized User is responsible for keeping their credentials confidential and for using reasonable authentication mechanisms. They may not share credentials or allow access by unauthorized persons.
6.2 The Client must notify Zonda without delay if it detects or suspects loss of credentials, unauthorized access, misuse, or any incident that could compromise its account or the Services.
6.3 Zonda may require credentials to be reset, apply protective measures, or temporarily restrict an account where reasonably necessary to protect the Client, other users, or the Services.
7. Acceptable use
7.1 The Client and Authorized Users will use the Services in accordance with the law, these Terms, and the applicable documentation. In particular, they may not:
- use the Services to commit, facilitate, or conceal unlawful or fraudulent acts, or acts that infringe third-party rights;
- upload, consult, process, or disclose information without the necessary rights, authorizations, or legal bases, or in breach of duties of confidentiality, professional secrecy, or contractual restrictions;
- circumvent access controls, technical limits, or security measures, or attempt to access the accounts, projects, documents, or information of other clients or users;
- introduce malicious code, interfere with the integrity or availability of the Services, conduct unauthorized penetration testing, or exploit vulnerabilities;
- reverse engineer, decompile, or attempt to discover the source code, non-public components, or internal mechanisms of the Services, except to the extent a mandatory rule of law permits;
- extract content or data from the Services in bulk or by automated means, except through features or interfaces expressly enabled by Zonda;
- resell, sublicense, lease, publicly share, or make the Services available to unauthorized third parties;
- use the Services or their Results to develop, train, or improve a competing product or service, absent Zonda's prior written authorization; or
- remove intellectual property, attribution, security, or provenance notices embedded in the Services.
7.2 Zonda may investigate reasonably suspected breaches and take proportionate measures, including limiting features or suspending access, without prejudice to the other rights set out in these Terms.
8. Client Content and Results
8.1 “Client Content” means the information, documents, instructions, queries, data, and other materials that the Client or its Authorized Users add, connect, or make available to the Services.
8.2 As between the parties, the Client retains all rights it holds in the Client Content. The Client represents that it has the rights and authorizations necessary to use that content in the Services and to instruct its processing under these Terms.
8.3 The Client authorizes Zonda to process the Client Content only to the extent necessary to provide, maintain, and protect the contracted Services, to follow its instructions, and to exercise rights or obligations set out in the contractual documentation. The specific data processing conditions are governed by the Privacy Policy and, where applicable, by the data processing agreement.
8.4 As between the parties and to the extent permitted by law, the Client may use the Results for its professional or institutional purposes. Zonda assigns to the Client any rights it may hold in the Results generated specifically for it, without affecting Zonda's pre-existing rights, third-party rights, or public domain materials that may be reflected in them.
8.5 Because of the nature of the Services, identical or similar results may be generated for other users. The Client acquires no exclusivity over ideas, concepts, general language, structures, or materials that are not part of its Client Content or that are not capable of exclusive protection.
8.6 No training. Zonda does not use Client Content to train, adjust, or fine-tune artificial intelligence models, and does not share it with other clients or users. The models the service runs on are our own and pre-trained, they execute in private environments under Zonda's control, and the processing of Client Content is transitory and isolated. The license in clause 8.3 is limited to that processing and does not extend to model training. The detail is in the Privacy Policy.
9. Confidentiality and data protection
9.1 Each party will protect the other's confidential information with a degree of care no less than it uses for its own information of a similar nature and, in any event, with reasonable care. Confidential information may be used only to perform the contractual relationship and disclosed only to those who need to know it and are bound by adequate confidentiality obligations.
9.2 Information will not be treated as confidential where the receiving party can show that it: (a) was publicly known without any breach; (b) was already lawfully known to it; (c) was received from a third party under no duty of confidentiality; or (d) was independently developed without using the other party's confidential information.
9.3 If a competent authority requires disclosure of confidential information, the receiving party may disclose it to the extent legally required and, where the law permits, will notify the other party in advance and cooperate reasonably to limit the disclosure.
9.4 The processing of personal data, security measures, incident handling, retention, deletion, and other privacy matters are governed by the Privacy Policy and, where applicable, by the data processing agreement in force between the parties.
10. External sources, integrations, and third-party content
10.1 Some features allow consulting, linking, importing, or working with information from public sources, websites, connected services, Client repositories, or other third parties. Those materials may be subject to terms, licenses, restrictions, and availability levels outside Zonda's control.
10.2 Zonda does not control or warrant the continuity, integrity, completeness, currency, or accuracy of third-party sources and services. The inclusion of a reference, link, or integration implies no sponsorship, endorsement, or warranty of the external content.
10.3 The Client is responsible for having the accounts, permissions, and rights needed to enable integrations or external sources, and for complying with the conditions applicable to them.
11. Zonda's intellectual property
11.1 Zonda and its licensors retain all right, title, and interest in the Services and their components, including software, designs, interfaces, methodologies, documentation, trademarks, trade names, the work of structuring the legal corpora, and the configuration, instructions, and orchestration that make the assistant work, together with their improvements and developments, excluding the Client Content and the rights in Results assigned under clause 8.4.
11.2 These Terms transfer no rights in Zonda's intellectual property to the Client, other than the limited right of access and use expressly granted.
11.3 If the Client provides suggestions, observations, or feedback about the Services, Zonda may use them without restriction or obligation to compensate, provided it does not identify the Client or disclose its confidential information without authorization.
12. Preview features and changes to the Service
12.1 Zonda may offer beta, pilot, trial, early-access, or experimental features (“Preview Features”). Their use is optional, may be subject to additional conditions, and may be modified, limited, or discontinued at any time.
12.2 Unless expressly stated otherwise, Preview Features are offered “as is” and as available, are not subject to service level commitments, and should be used with particular caution before being incorporated into critical processes.
12.3 Zonda may update, improve, add, or withdraw features. Where a material change substantially reduces a principal contracted feature, Zonda will endeavor to give reasonable advance notice and will offer, where appropriate, an alternative or the right to terminate the affected component.
13. Availability, support, and maintenance
13.1 Zonda will use commercially reasonable efforts to keep the Services available and to provide support professionally. There may be interruptions due to maintenance, updates, provider failures, security incidents, force majeure, or other circumstances beyond Zonda's reasonable control.
13.2 Service levels, response times, maintenance windows, and support channels, where agreed, are those set out in the applicable contractual documentation. General contact routes are on the Support page.
14. Suspension and termination
14.1 The Client may terminate the subscription in accordance with the service order or contracted plan. Unless otherwise agreed, ordinary termination takes effect at the end of the current billing cycle.
14.2 Either party may terminate the contractual relationship for the other's material breach if that breach is not cured within thirty (30) days of receiving written notice. The cure period does not apply where the breach is incurable.
14.3 Zonda may suspend access in whole or in part, with immediate effect and to the extent reasonably necessary, if: (a) payment is overdue under the commercial instrument; (b) use breaches clause 7; (c) use creates a security, legal, or technical risk to the Services or third parties; (d) a competent authority requires it; or (e) it is necessary to contain an incident. Where reasonably possible, Zonda will give notice of the suspension and cooperate to restore access once its cause is resolved.
14.4 On termination, the right to access the Services ends. The handling, return, export, retention, and deletion of Client Content are governed by the applicable contractual and privacy documentation.
14.5 Provisions that by their nature must survive will remain in force, including those on intellectual property, confidentiality, accrued payments, limitations of liability, dispute resolution, and the effects of termination.
15. Warranties and exclusions
15.1 Zonda warrants that it will provide the Services professionally and in accordance with commercially reasonable standards. If the Client reports a verifiable breach of this warranty, Zonda will use reasonable efforts to correct it.
15.2 Except as expressly provided in these Terms or in a specific instrument, and to the fullest extent permitted by applicable law, the Services, Preview Features, and Results are provided “as is” and as available. Zonda does not warrant that they will be uninterrupted, error-free, wholly secure, or fit for a particular purpose, nor that the Results will be accurate, complete, unique, or sufficient to make a professional decision without independent review.
15.3 Nothing in these Terms excludes warranties, rights, or liabilities that cannot validly be excluded or limited under applicable law.
16. Limitation of liability
16.1 To the fullest extent permitted by applicable law, neither party will be liable to the other for loss of profits, revenue, opportunity, reputation, or data, nor for indirect, special, exemplary, punitive, or consequential damages, even if advised of their possibility.
16.2 To the fullest extent permitted by applicable law, Zonda's total aggregate liability arising out of or relating to the Services will not exceed the amount actually paid by the Client for the Services during the twelve (12) months immediately preceding the event giving rise to the claim. Caps agreed in a specific contract prevail over this clause.
16.3 The foregoing limitations do not apply to liability arising from willful misconduct or gross negligence, or to any other liability that cannot lawfully be limited.
17. Indemnity
17.1 The Client will hold Zonda harmless against third-party claims arising from: (a) Client Content used without sufficient rights or authorizations; (b) unlawful use of the Services; or (c) material breach of clause 7, provided Zonda gives timely notice of the claim and allows the Client to reasonably control its defense and negotiation, without accepting settlements that impose obligations on Zonda without its consent.
17.2 Any indemnity obligation of Zonda for third-party intellectual property claims, if applicable, is that set out in the specific contract entered into with the Client.
18. Changes to these Terms
18.1 Zonda may modify these Terms to reflect legal, regulatory, technical, operational, or commercial changes. The version in force will state its last updated date.
18.2 If a change is material, Zonda will give notice by a reasonable means at least thirty (30) days in advance, unless it must be applied sooner to meet a legal obligation, respond to a security risk, or avoid material harm.
18.3 Continued use of the Services after a change takes effect constitutes acceptance of the updated Terms. If the Client does not accept a material change, it may terminate the subscription before that change takes effect.
19. Notices
19.1 Operational or contractual notices may be sent to the email address associated with the Client's account, posted within the Services, or sent through the channels established in the commercial documentation.
19.2 The Client is responsible for keeping its contact details up to date and for reviewing communications relating to the Services.
20. General provisions
20.1 These Terms and the instruments incorporated by reference constitute the agreement between the parties as to their subject matter and supersede prior understandings on the same matter, without prejudice to specific contracts in force.
20.2 The Client may not assign these Terms or its access rights without Zonda's prior written authorization, except in a corporate reorganization not involving a competitor and provided the assignee assumes the applicable obligations in writing. Zonda may assign them to an affiliate or in connection with a reorganization, merger, acquisition, or substantial transfer of its business.
20.3 Failure to exercise a right is not a waiver. If a provision is held invalid or unenforceable, it will be construed or adjusted to the minimum extent necessary and the remainder will stay in force.
20.4 Headings are for ease of reading only. The words “includes” and “including” are to be read without limitation. In case of conflict between language versions, the Spanish version prevails, unless otherwise agreed in writing.
20.5 Neither party will be liable for delays or failures caused by events beyond its reasonable control, except as regards payment obligations already accrued.
